EPV Solar Power Ltd

Dottir advised EPV Solar Power Ltd in connection with the debt financing of EPV Energy's first solar park, located in Lapua, Finland. The solar park, consisting of approximately 140 000 solar panels, is expected to have an average output exceeding 90 GWh per year throughout its life cycle, making it one of the largest in Finland.

EPV Energy, a pioneer in zero-emission energy generation, has made substantial investments in new electricity over the past few years. This renewable energy project marks a significant step forward in their plans to achieve emission-free energy generation.

Carbo Culture

Dottir advised Carbo Culture in its EUR 16 million Series A financing round, led by Temasek-owned decarbonisation fund GenZero as well as San Francisco-based venture capital firm True Ventures, and joined by Tesi and notable climate tech investors and family offices.

Dottir advised biotech company Linio Biotech in their EUR 4.2 million funding round. The round consisted of existing investors as well as new angel investors familiar with the industry.

Founded in 2017, Linio Biotech’s innovation is an injectable tissue product called Tience®. The product is intended for professional use only and it helps skin naturally regenerate itself by accelerating the skin’s natural healing process. Tience® treatment can be used to repair various skin defects, such as signs of aging or unwanted visible scars. The new funding will help Linio Biotech expand the availability of its Tience® product and treatments.

Timma

Dottir advised Timma on their acquisition of Danish Melumi.

Founded in 2014, Timma is a technology company that facilitates online booking and business processes for beauty and wellness companies. Melumi is Denmark's leading online booking platform for similar services.

SpinDrive

Dottir advised cleantech company SpinDrive in their EUR 3.8 million Series A funding round. The round was led by U.S.-based Rhapsody Venture Partners and participated by existing investors Innovestor from Finland and Born2Grow from Germany.

Finnish SpinDrive provides affordable active magnetic bearings for original equipment manufacturers (OEMs). SpinDrive's frictionless bearings are smaller, more energy efficient, and more affordable than its competitors. Furthermore, the bearings require no oil to work, eliminating the need for polluting lubricants from industrial production.

The funding will enable SpinDrive to ramp up its commercial growth and improve industrial efficiency in factories worldwide.

Nordea Bank Abp, OP Corporate Bank plc and Skandinaviska Enskilda Banken AB (publ)

Dottir advised Nordea Bank Abp, OP Corporate Bank plc and Skandinaviska Enskilda Banken AB (publ) in their roles as Mandated Lead Arrangers in Terveystalo's EUR 175 million sustainability-linked term and revolving credit facilities agreement. The loan, with a maturity period of three years, has been procured for the purpose of refinancing the company's existing facilities maturing between 2023 and 2024.

Kuva Space

Dottir advised Kuva Space, hyperspectral imagery startup, in their EUR 16.6 million Series A funding round. The round was led by existing investors Voima Ventures and Nordic Foodtech VC, with participation from Singapore fund Earth VC.

Founded in 2016, Kuva Space initially built nanosatellites for organizations like the European Space Agency during its first four years. Around 2020 the company decided to pursue a hyperspectral constellation. To date, the company has successfully launched three satellites. Kuva Space now has plans to deploy up to 100 satellites by the end of the decade and aims to establish a U.S. entity.

Firecon Group Oy

Dottir advised the sellers, represented by Evolver Investment Group Ab, in the sale of Firecon Group Oy to Writech Group, a portfolio company of Waterland Private Equity. Firecon Group is a market-leading Finnish full-service provider of automated fire extinguishing systems and HVAC solutions and services with sales of some EUR 13 million in 2022.

Warner Music Finland

Dottir advised Warner Music Finland in its acquisition of the record label business of The Fried Music, the iconic Finnish label founded by Jukka Immonen. Following the acquisition, The Fried Music's artists will join Warner Music's roster and Jukka Immonen will be appointed as Warner's new Head of A&R, effective January 1, 2024.

Warner Music Finland is the largest music entertainment company in Finland and operates across recorded music, music publishing, and artist services.

MeetingPackage

Dottir advised MeetingPackage, a leading all-in-one sales automation software specializing in venue and group bookings, in their EUR 4.6 million funding round. The round was led by Scale Capital with participation from angel investors.

Dottir advised re-commerce marketplace Mjuk in their EUR 2.5 million funding round. The investors in the round comprise Trind Ventures, Alliance VC, Superhero Capital, Lifeline Ventures, and angel investors.

Mjuk, launched in 2019, is an end-to-end circular marketplace, simplifying the process for both companies and consumers to sell furniture that is redundant, including second-hand items, overstock, and retailer returns that cannot be reintegrated into conventional sales channels. The funding will accelerate Mjuk’s growth towards profitability while strengthening the brand’s reputation in both B2B and B2C segments.

Starcart Oy

Dottir advised Starcart Oy, a Finnish tech startup, in their EUR 3.5 million seed funding round. The round was led by Inventure and participated by Business Finland and angel investors.

Starcart, founded in 2021, is transforming online shopping through its AI-powered e-commerce platform, which offers a centralized selection of products from various online stores. In Starcart's online store, customers can automatically discover the best prices and fastest delivery options for the products they desire.

The newly secured funding will enable Starcart to scale its operations and explore new markets across Europe.

Freska

Dottir represented Freska in a series of four investigations conducted by the Finnish Centre for Pensions. These investigations were centered on whether Freska's self-employed home cleaners should be legally considered employees. In all four investigations, the rulings favored Freska, concluding that Finnish employment legislation does not apply to them. While most of Freska's home cleaners are in an employment relationship, these decisions highlight that self-employed contractors can be a viable option for providing independent services, even by a single person.

Toyrock

Dottir advised Toyrock group in their acquisition of Ilmapallokeskus Balloon Center Oy, the leading importer, marketer and distributor of balloon and party items in Finland. Ilmapallokeskus is also owner of Juhlamaailma retail stores. For the current financial year their turnover is expected to reach EUR 12.6 million.

Toyrock is the leading marketer and distributor of toys, games and family leisure products in Finland. Evolver Fund I, controlled by Finnish private equity investor Evolver Equity Ab, continues as the largest owner of the Toyrock group. Dottir advised Toyrock group both in the M&A as well as financing of the deal.

Hydda

Dottir acted as local counsel to Swedish proptech group Hydda in its investment into indoor software provider Freesi.

Freesi, founded in 2017, offers a digital indoor climate management solution that combines AI-driven high-quality data with tenant feedback in an innovative way. The investment will play a crucial role for Freesi to achieve its goal to be a global leader in the industry.

Jolt Capital

Dottir advised Jolt Capital, Helen Ventures, and other investors in the EUR 85 million growth funding of Virta.

Virta provides leading-edge smart charging services for EV drivers and companies alike, with 1,000 B2B customers in 35 countries who have invested around EUR 400 million in their charging infrastructure. The entire network is used by more than half a million electric vehicles. Virta's goal is to continue to grow faster than the market.

Jolt Capital provides growth equity financing to European B2B technology companies about to go global and with current revenue from EUR 10M to EUR 50M.

Carbonaide Oy

Carbonaide Oy, a spin-off from VTT, is commercialising a carbon capture and storage technology that has the potential to make concrete carbon negative, significantly reducing its carbon footprint. The company has secured a total of EUR 1.8 million in seed funding to support its efforts.

Carbonaide's technology makes it possible to cut carbon emissions in half compared to traditional concrete products. Currently, they are constructing the world's first industrial pilot production line for carbon negative concrete, with plans to launch ten production units in the Nordics by 2026.

Dottir acted as Carbonaide's legal advisor throughout the spin-off process.

Using artificial intelligence that mimics a patent expert's thinking, the app quickly provides relevant patents from a database of tens of millions. This tool enables operators to safeguard their technology and gain insight into their competitors' intellectual property rights. IPRally will use the funding to develop its patent intelligence and grow its business in Europe and the US.

Endeit Capital is a growth equity firm that invests from its offices in Amsterdam, Hamburg and Stockholm. IPRally was their fourth Nordics investment after Stravito, Happeo and Leadfeeder (sold).

Cronvall Oy

Dottir advised Cronvall in their EUR 1.5 million seed funding round. The round was led by Innovestor and participated by certain Finnish family offices such as Inasis and Procurator.

Cronvall is a B2B marketplace that connects buyers to suppliers in the construction and industrial manufacturing industries with an on-demand online store. It brings features familiar from consumer commerce to business-to-business e-commerce, making the buying process more efficient, convenient, and fast.

Web 3.0 is the third generation of the internet, a development stage that aims to offer services that enable decentralised decision-making and commerce. Web 3.0 unlocks potentials for the emergence of novel business models and services, but it also requires a shared set of rules.

In autumn 2022, Sitra and Dottir collected views from the industry operators on the state of web 3.0 in Finland as well as on legislative measures aimed at advancing the development.

Based on those discussions with some of Finland's top experts, Dottir and Sitra created seven recommendations to improve business opportunities for web 3.0 companies in Finland.

Dottir advised Newil&Bau, a next-generation housing developer, in its EUR 5 million growth funding. Investors comprise, among others, a number of family offices and unicorn founders.

The circular economy company Tracegrow has collected a total of EUR 2.5 million in funding since last summer. Dottir advised Tracegrow in their funding process. Nordic Foodtech VC, a private equity fund that invests in food technology, invested in the company among others.

Tracegrow, founded in 2021, manufactures organic fertilizer from alkaline batteries. Manufacturing is done by crushing the batteries and separating the trace elements from it into fertilizer. The fertilizer is already sold in 15 countries.

The funding supports Tracegrow's strategy to operate internationally. The company also plans to expand into the production of raw materials for the battery industry.

Fisher King

Dottir advised Fisher King in relation to the production of the TV series Helsinki Syndrome.

Fisher King is a Finnish production company focusing on genre driven productions.

Ruokaboksi Oy

Dottir advised Ruokaboksi Oy in their EUR 3.5 million funding round. The round was led by Nordic Foodtech VC and participated by Suomen Teollisuussijoitus Oy as well as certain existing shareholders.

Ruokaboksi offers recipes along with fresh ingredients for several meals delivered to your door. Their goal is to make everyday cooking easy and effortless while reducing food waste and supporting domestic food production.

Ruokaboksi will use the funding to develop the content and selection of its products and also to expand its operations to international market.

Hoiwa Oy

Dottir advised Hoiwa in their EUR 2 million seed funding round. The investors in the round comprise Nordia Management Oy, Olli Sirkiä (Trado Capital Oy) and Rake Oy.

Hoiwa, founded in 2020, is developing a platform service that helps alleviate the chronic labor shortage in the care industry. With the help of Hoiwa's technology, more than 3,000 community nurses, practical nurses and nurses are already employed in both the private and public sectors. Fadumo Ali, the founder of Hoiwa, was chosen in 2021 as one of the influencers of the health sector in Finland and in 2022 Ali was awarded as Espoo's Entrepreneur of the Year.

Hoiwa plans to use the funding to increase the number of its employees and to expand its operations in the Central European market.

Happeo offers an intranet for fast-moving businesses for solving information chaos. Happeo's digital portal centralizes businesses’ tools, knowledge and documentation into one place - also connecting the people using them.

Dottir advised Solnet Green Energy on their EUR 15 million funding round led by EAB Private Equity.

Solnet helps large and medium-sized companies in achieving their sustainability goals in Europe by providing various solar energy solutions and services. Dottir advised Videoly in its EUR 6 million series A funding round. The round was led by Swedish VC Alfvén & Didrikson and joined by previous investors Vendep Capital, Reaktor and Kim Väisänen.

With their product video management solution Videoly helps brands and retailers automatically connect product videos with online stores. This brings the in-store experience closer to e-commerce. The Helsinki-based startup’s solution is used by over 400 online retailers and brands globally.

Dottir advised sole shareholder of e-ville.com in the acquisition of the company by Verkkokauppa.com Oyj. E-ville is an online store headquartered in Finland with operations in China. The acquisition is the first in the history of Verkkokauppa.com. The acquisition supports Verkkokauppa.com's strategy to strengthen and expand its assortment in own brands. With the acquisition, Verkkokauppa.com will get e-ville’s experienced sourcing organization operating in Shenzhen, China and Hong Kong.

In the case, minority shareholders claimed compensation on various grounds for transfering the brand and related rights to another company owned by some of the same individuals.

Dottir successfully represented two Singapore-based venture capital companies in an arbitration relating to an investment round of a Finnish growth company. In the case the investors claimed payment of the agreed compensation in accordance with the parties’ fundraising and partnership agreement. The respondent disputed the claims alleging that the investors had neglected its duties under the parties’ agreement.

Dottir represented an asset management group, in a series of cases relating to an employee’s/shareholder’s hostile takeover attempt that led to the termination of the person’s employment. The incident, potentially threatening tens of millions of euros of assets under management, generated several legal proceedings, including litigation and arbitration as well as administrative proceedings. The cases revolved mostly around employment and corporate law, but there were also connections to e.g. trade secrets and data protection issues.

Dottir advised Trustmary on its first funding round of EUR 1.86 million. Dottir advised Woodly, a pioneer in developing wood-based plastic, in their EUR 3 million growth financing by Vesa Puttonen, Lauri Rosendahl, Small Giant Games founders and Taaleri Impakti, among others. The new growth funding will be used for commercialisation and internationalisation of Woodly's product innovation.

The service is developed in a fun and game-like way with several elements that will keep the children engaged, including points and reward systems topped with fun cooking challenges.

Dottir advised Finnish edutech startup 3DBear in raising EUR 1.5M of funding from Californian VC Brand Capital International and Finnish Oppiva Invest.

3DBear provides tools for creative learning using virtual technologies. The new funding will be used to accelerate growth in the markets of India and the US.

Carbo Culture converts woody waste into functional biocarbons to remove CO2 out of the atmosphere. The new funding will be used to grow the team and build one of Europe’s largest carbon removal facilities.

Dottir advised AMAVI Capital, the lead investor in GBuilder’s EUR 2 million financing round. GBuilder’s existing investors, Butterfly Ventures and Vendep Capital joined the round along with few select angel investors.

Flow Festival

Dottir defended Flow Festival against charges for environmental infraction. On 14 December 2020 the District Court of Helsinki dismissed all charges brought against Flow Festival. The trial is characterised as a precedent for the entire event industry.

Flow Festival was charged for surpassing noise limits set by the City of Helsinki during the festivals in 2017 and 2018. In the trial, it was left uncertain whether the limits had actually been exceeded. This was due to the effect of weather conditions, the location of the measuring point and its distance from the sound source. Also, the Court concluded that Flow Festival had taken all measures possible in order to decrease the volume without compromising public safety.

Flow Festival is a music festival taking place at the historic Suvilahti power plant area close to the Helsinki city centre yearly in mid-August.

ReceiptHero

Dottir advised ReceiptHero in their EUR 2 million seed financing round that was led by Lifeline Ventures with Superhero Capital as well as existing investor Vidici Ventures as co-investors.

Dottir advised AppFollow in their USD 5 million Series A round led by Nauta Capital, alongside existing investors Vendep Capital and RTP Global participating.

Central Finland Health Care District (Keski-Suomen sairaanhoitopiiri)

Dottir acted as the legal counsel for the Central Finland Health Care District (Keski-Suomen sairaanhoitopiiri) in the procurement of the new Health and Social Information System from Cerner Ireland Limited.

The value of the 10 year agreement is approx. 286 MEUR and the new system will serve more than 700.000 patients throughout Finland.

The case is one of the biggest IT-procurements in Finland during 2020.

Dottir advised Arvo Sijoitusosuuskunta in their EUR 3 million investment in Valve Group, a full-service marketing and communications agency of the digital era.

Arvo Sijoitusosuuskunta is a regional investment cooperative which is owned by its 25,000 members. The cooperative has its roots in the telephone business, which was founded more than 100 years ago.

HappySignals

Dottir advised HappySignals in their EUR 4.7 million series A round which was led by Nauta Capital with Vendep Capital as a co-investor.

HappySignals is a Finnish startup and a provider of an employee experience management platform making experience data visible, understandable and connected to operational data in IT. The funds will be used to further HappySignals’ mission and expand operations in Europe and the US.

CarbonCloud is a Swedish start-up that helps companies within the food industry to calculate their climate footprints of their products. The platform is used in-house e.g. by brands Oatly and Nude.

Dottir advised Videoly in their financing round to accelerate international growth especially in North America. The round was led by Vendep Capital and joined by few selected angel investors.

Solar Foods

Dottir advised Solar Foods, a company producing a unique single-cell protein out of thin air, in their series A round with EUR 15 million new financing. This was the largest food-tech financing round in Finland to date and it was led by Fazer Group with Bridford Investments Limited, Agronomics Limited, Lifeline Ventures and CPT Capital.

Solar Foods is the first company capable of producing food by using air-captured CO2, including the preparation of the actual final food products. Solar Foods produces an entirely new kind of nutrient-rich protein, Solein®, by using air and electricity as its primary raw materials. This process revolutionises food production, as the production of Solein is non-dependent on agriculture, climate, or the weather.

Kemijoki Oy

Dottir represented Post Control Helsinki, a high-end post production company, in their complaint before the Market Court against YLE, the national broadcasting company of Finland.

The complaint concerned public procurement of services for digitalisation of YLE’s film collection with a maximum estimated value of EUR 10 million.

Dottir advised Tomorrow Tech in creating a digital registry for housing company shares. In Finland holding shares in a housing company is a common form of real estate and home ownership. Owning an apartment in Finland usually means owning shares in a housing company.

The new digital registry is utilizes blockchain technology and it is operated in collaboration with Danske Bank, Nordea, Aktia, S-Pankki and OP-Group.

Wolt Enterprises

Dottir advised Wolt Enterprises and its founders in the acquisition of the food delivery business of Dailyvery Sp.z.oo in Poland. Simultaneously the founders and investors of Dailyvery Sp.z.oo invested in Wolt Enterprises.

Wolt Enterprises has an Apple-awarded app, and a website a for discovering and getting food in the city – home-delivered, takeaway or eat in. Wolt partners with more than 3,500 restaurants and 10,000 couriers around Europe.

Sanoma Media Finland

Dottir advised Sanoma Media Finland in their acquisition of the stake in Finnish music publisher and management company Kaiku Entertainment.

The acquisition was one of the most influential transactions in the media and music business in Finland during 2018 as a big media group expanding to artist management business. With operations in Finland, the Netherlands, Poland, Belgium and Sweden, Sanoma Group net sales totalled EUR 1.3 billion and the Group employed more than 4400 professionals in 2018.

Estée Lauder Companies Europe

Dottir advised Estée Lauder Companies Europe in a legal design project, where the privacy policy for their cosmetics brands was re-designed to be more user friendly and to better reflect each respective brand.

The end result was a user-friendly, transparent privacy policy that people want to read and can actually understand.
